Terms of Service

1. Who you are contracting with
These Terms form an agreement between you and Holistic Business Solutions Inc.("Holistic", "we", "us"), the operator of Superbill Studio (the "Service"). By creating an account, accessing, or continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Superbill Studio provides tooling for healthcare providers to create Superbills and patient reimbursement statements. You are responsible for the accuracy of clinical codes, patient information, and charges entered. Reimbursement decisions are made by the patient's health plan and are not guaranteed by us.
3. Account and acceptable use
You agree to provide accurate information, keep your credentials confidential, and not to:
- use the Service unlawfully, fraudulently, or to send spam;
- infringe intellectual-property or privacy rights of others;
- upload malware or attempt to probe, scan, or breach security;
- scrape, reverse engineer, resell, or redistribute the Service;
- circumvent usage limits or access controls.
4. Intellectual property
Holistic and its licensors retain all right, title, and interest in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan. You retain ownership of content you upload, and grant us a limited license to host and process it solely to operate the Service.
5. Payments and subscriptions — Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms and our Refund Policy. Credit packs and subscription fees are charged at the prices listed at checkout. Subscriptions renew automatically until cancelled.
6. Service availability and disclaimers
The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or meet all your requirements. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
7. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special, or exemplary damages, including lost profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.
8. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.
9. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly or seriously violate our policies. You may cancel at any time via your account or via paddle.net. On termination, your right to use the Service ends; we will make reasonable efforts to allow data export for 30 days, after which data may be deleted.
10. Changes
We may update these Terms; material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Holistic Business Solutions Inc. is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction.
